Portsift Terms of Service

1. Welcome
Welcome to Portsift ("Portsift", "we", "our", or "us"). These Terms of Service ("Terms") govern your access to and use of the Portsift website, applications, and related services (collectively, the "Service").
By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
2. About the Service
Portsift is portfolio analytics software designed to help users organize portfolio information and calculate metrics such as average cost basis (ACB), projected income, diversification, distribution coverage, and related portfolio analytics.
Portsift is provided solely as an informational tool.
Portsift:
- does not recommend buying, selling, or holding any security or investment strategy;
- does not provide financial, investment, tax, accounting, or legal advice;
- does not act as an investment adviser, dealer, or portfolio manager; and
- does not endorse any security, ETF, issuer, or investment strategy.
Certain features display classifications, alerts, or analytical labels generated using transparent, rules-based methodologies. These are intended to help users interpret objective portfolio data and should not be interpreted as recommendations or personalized advice.
All calculations are generated from information supplied by users together with third-party market data. You remain solely responsible for verifying all information before relying upon it for investment, tax, or financial decisions.
3. Beta Status
The Service is currently provided as an early-access beta.
Features may change, be modified, become unavailable, or be removed without notice.
The Service may contain errors, incomplete functionality, inaccurate calculations, or temporary interruptions while under active development. Users should maintain their own records and should not rely on Portsift as their sole repository of portfolio information.
4. Accounts
You agree to:
- provide accurate registration information;
- maintain the security of your account credentials;
- promptly notify us of suspected unauthorized access to your account.
You are responsible for activity that occurs under your account.
5. Acceptable Use
You agree not to:
- violate applicable laws;
- attempt to access another user's account;
- interfere with the operation of the Service;
- reverse engineer or attempt to discover source code except where permitted by law;
- scrape, automate, or overload the Service;
- introduce malware or other harmful software;
- bypass security measures or rate limits.
We may suspend or terminate accounts that violate these Terms or threaten the integrity or security of the Service.
6. Market Data
Information displayed by the Service may originate from licensed market-data providers and publicly available issuer disclosures.
Market data, security prices, distributions, holdings, and related information may be delayed, unavailable, incomplete, or inaccurate.
Portsift does not guarantee the completeness, accuracy, or timeliness of market data supplied by third parties.
7. Calculations
Portsift performs automated calculations using information supplied by users together with third-party market data.
Although we strive to implement commonly accepted methodologies, including average cost calculations commonly used for Canadian tax reporting, users remain responsible for reviewing and verifying all calculations before relying on them for tax filings, investment decisions, regulatory reporting, or other purposes.
8. Paid Subscriptions
Certain features may require a paid subscription.
Subscriptions are processed through Stripe.
Before completing a purchase, you will be shown the applicable subscription price, billing frequency, renewal terms, cancellation process, and any applicable refund policy.
Unless otherwise stated, cancelling a subscription prevents future renewals but does not entitle you to a refund for amounts already paid.
Applicable taxes may be added where required by law.
9. Intellectual Property
The Service, including its software, branding, design, documentation, and content (excluding user content), is owned by Portsift or its licensors and is protected by applicable intellectual property laws.
These Terms grant you a limited, non-exclusive, non-transferable right to use the Service.
10. Your Data
You retain ownership of the portfolio information you submit.
You grant Portsift only the rights reasonably necessary to store, process, back up, and display your information for the purpose of operating the Service.
11. Disclaimer of Warranties
The Service is provided "as is" and "as available."
To the maximum extent permitted by law, Portsift disclaims all warranties, whether express or implied, including warranties of merchantability, fitness for a particular purpose, availability, accuracy, and non-infringement.
We do not guarantee uninterrupted availability or error-free operation.
12. Limitation of Liability
To the maximum extent permitted by law, Portsift and its operators will not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages arising from or relating to your use of the Service.
To the maximum extent permitted by law, our total aggregate liability arising from the Service will not exceed the greater of:
- the amount you paid to Portsift during the preceding twelve months; or
- CAD $100.
Nothing in these Terms excludes liability that cannot legally be excluded under applicable law.
13. Suspension and Termination
You may delete your account at any time through the Service.
We may suspend or terminate your account if you violate these Terms or if necessary to protect the security, integrity, or operation of the Service.
14. Changes to These Terms
We may update these Terms from time to time.
If we make material changes, we will provide reasonable notice through the Service or by email where appropriate.
Your continued use of the Service after the effective date of revised Terms constitutes acceptance of those changes.
15. Governing Law
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein.
